Position Title: Assistant Manager Regulatory China Business Unit: GC Legal Reports To: Legal Counsel, Greater China
ESSENTIAL DUTIES
1. Set-up new Entity/Branch in PRC
Prepare necessary application documents , i.e. Board Minutes, Appointment Letter to the authority Apply and arrange all required License and Certificate, especially on the Management Qualification Certificate and Agency License
2. License Register
Keep record of the licences available Mark up and analysis the gaps of the licences requirements To follow up with business and other departments with respect to filling in the gaps; To report the same to Legal Counsel on monthly basis
3. Administration of company Insurance
Liaise with regional contact to keep update on the company insurance information Renew the PRC company insurances before their expiry date
4. Maintenance of the Certificates and Licenses
Liaise with the local offices to obtain all required professional licence and/or certificate in line with the business license Follow up with the local offices to renew the license and certificate before they are expired. Work with Finance and local offices to complete the annual inspection Make necessary applications to related authorities when required, i.e. Office registered address etc
5. Matters related to Legal Representative and Responsible Person
Prepare necessary documents to apply for changes on the legal representative and/or responsible person when required Work with Finance to update all related parties on the changes, i.e. Banks Prepare Power of Attorney to local MD / authorised person
6. Company De-registration
Work with Finance and local admin to submit the applications Follow up the progress on the de-registration and report to Legal Counsel and Finance Director the same on a regular basis
7. Bank A/Cs assistance
Assist Finance to prepare necessary corporate documents when applying for the purposes of opening corporate banking accounts Assist Finance to prepare corporate supporting documents for the purposes of ASV trust accounts
8. Office Lease
Centralize all contract's summary of each office in China Remind the local MD and Finance Director at least 6 months before the lease is expired Provide an update office lease information to AP office as required
9. Company Secretary
Prepare necessary documents for change of company board directors, legal rep or responsive person for all PRC entities Renew business all business licenses before their expiry date
10. Agency License
Prepare necessary documents for license renewal Monitor the regulatory requirement on PRC Agency Licences for each city where the company has an office
11. Misc.
Keep Minutes and statutory records of each entities Provide company corporate information to various departments at their tendering activities.
REQUIREMENTS
Major or experienced in administrations at multinational companies. Minimum of 3 years working experience after college. Comfortable and experienced in dealing with PRC government authorities. Good communication skills. Fluent spoken and written English; Proficiency in Microsoft Office applications, particularly in MS Word, Excel and PowerPoint.
